These Terms & Conditions are governed by the laws of India including but not limited to the Indian Contract Act, 1872; Consumer Protection Act, 2019; Information Technology Act, 2000; Goods and Services Tax Act, 2017; Electricity Act, 2003; and applicable MNRE / CSERC Regulations. Please read carefully before engaging with our services.

DEFINITIONS & INTERPRETATION

In these Terms and Conditions, the following definitions shall apply:

  • "Company / Zonato Solar" refers to Zonato Solar, an EPC (Engineering, Procurement & Construction) solar energy business having its principal place of business at Uslapur, Bilaspur, Chhattisgarh, India — 495001, GSTIN: 22AHNPR4108CZ1.
  • "Client / Customer" refers to any individual, firm, company, institution, or organisation that engages the Company for its solar products or services, either in person, over the phone, via WhatsApp, email, or through any digital platform.
  • "Services" means Engineering, Procurement & Construction (EPC) of solar energy systems including but not limited to Offgrid Solar Systems, Hybrid Solar Systems, lithium battery installations, solar inverters, mounting structures, wiring, commissioning, and Annual Maintenance Contracts (AMC).
  • "Work Order / Agreement" means the written or digital document signed or accepted by the Client confirming scope, cost, and timeline of the project.
  • "Products" refers to solar panels, lithium batteries, inverters, charge controllers, mounting structures, cables, and all associated hardware supplied by the Company.
  • "Site" refers to the physical location where installation and commissioning of solar systems is undertaken.
  • "MNRE" means the Ministry of New and Renewable Energy, Government of India.
  • "CSERC" means the Chhattisgarh State Electricity Regulatory Commission.

ACCEPTANCE OF TERMS

By engaging with Zonato Solar — whether by signing a Work Order, making a payment (advance or full), providing written or verbal approval, or by accepting our quotation — the Client unconditionally agrees to be bound by these Terms and Conditions.

Important: If you do not agree to these Terms, you must not engage our services. Continued engagement constitutes acceptance as per the Indian Contract Act, 1872.

These Terms constitute the entire agreement between the Client and Zonato Solar. Any oral representations, promises, or understandings not reflected in writing shall not be binding on the Company.

SCOPE OF SERVICES

The exact scope, specifications, and deliverables for each project shall be defined in the Work Order issued to the Client.

Note on Scope Changes

Any additions or modifications to the agreed scope after signing the Work Order shall require a written Change Order and may attract additional charges. Verbal commitments for scope additions shall not be honoured.

QUOTATION & WORK ORDERS

  • All quotations issued by Zonato Solar are valid for 30 (Thirty) days from the date of issue, unless otherwise stated in writing.
  • Quotations are based on a preliminary site assessment or client-provided information. Final pricing may be revised after a detailed site survey if site conditions differ materially.
  • A Work Order becomes a binding contract only when signed by an authorised representative of the Client and confirmed by Zonato Solar in writing or via email/WhatsApp.
  • Prices quoted are exclusive of GST unless explicitly stated otherwise. GST shall be charged at prevailing applicable rates as per the GST Act, 2017.
  • Zonato Solar reserves the right to substitute equivalent or superior components if the specified components are unavailable, without requiring prior Client approval, provided performance specifications are not reduced.
  • Site access must be provided by the Client at agreed dates. Delays caused by the Client's failure to provide timely access shall not be the liability of Zonato Solar.

PAYMENT TERMS & GST

Standard payment milestones are as follows (specific terms may vary per project Work Order):

  • Advance Payment — 50%: Due at the time of Work Order confirmation/booking. Work shall not commence until this payment is received and cleared.
  • Progress Payment — 30%: Due upon delivery of major equipment to the site / commencement of installation.
  • Balance Payment — 20%: Due upon completion of installation, commissioning, and handover of the system to the Client.
Accepted Payment Modes

Bank Transfer (NEFT/RTGS/IMPS), UPI, Cheque (subject to clearance). All payments must be made to the official Zonato Solar bank account only. The Company is not responsible for payments made to unauthorised persons.

  • All invoices are subject to GST as applicable under the CGST/SGST/IGST Act, 2017. The Company's GSTIN is 22AHNPR4108CZ1.
  • Delayed payments beyond the due date shall attract interest at 18% per annum (1.5% per month) on the outstanding amount.
  • The Company reserves the right to suspend installation or withhold commissioning in case of non-payment of dues.
  • All payments received shall first be adjusted against outstanding interest, then principal dues.
  • TDS deductions, if applicable, must be deposited by the Client with income tax authorities and a TDS certificate must be provided to the Company within 30 days of deduction.

INSTALLATION & COMMISSIONING

The Client agrees to fulfil the following obligations to enable timely and safe installation:

  • Site Readiness: Provide clear, safe, and unobstructed access to the installation site including rooftop or ground area as applicable.
  • Electrical Infrastructure: Ensure the existing electrical wiring and distribution board (DB) are in safe working condition. If upgrades are required, these shall be at the Client's cost unless included in the Work Order.
  • Structural Adequacy: The Client is responsible for ensuring the rooftop or mounting surface is structurally adequate for the load of solar panels and mounting structures. Zonato Solar shall conduct a visual assessment but is not liable for pre-existing structural deficiencies.
  • Regulatory Approvals: Any required approvals from local municipal bodies, housing societies, or electricity distribution companies (DISCOMs) shall be obtained by the Client prior to or during installation. Zonato Solar may assist but the primary responsibility lies with the Client.
  • Safety: The Client must ensure no hazardous conditions exist at the installation site. Workers engaged by Zonato Solar shall not be required to work in unsafe conditions.

Commissioning shall be completed and the system handed over to the Client after successful testing and demonstration. The Client or an authorised representative must be present during commissioning.

Electrical Safety: All electrical work shall be carried out by qualified electricians in compliance with the Indian Electricity Rules, 1956 and National Electrical Code of India (NBC). The Client must not tamper with electrical connections after installation.

Warranty claims are subject to the following conditions:

  • Warranty is void if the system is tampered with, modified, or repaired by persons not authorised by Zonato Solar.
  • Damage caused by acts of God, lightning, floods, fire, earthquakes, or other natural calamities is not covered under warranty.
  • Warranty does not cover consumable items such as fuses, cables damaged due to rodents, or accidental physical damage.
  • Warranty claims must be raised in writing (email or WhatsApp) within 7 days of noticing a defect.
  • Warranty is non-transferable unless expressly agreed in writing.
  • Travel and logistics charges for warranty service to remote locations (beyond 50 km from Bilaspur) may be charged at actuals.
Annual Maintenance Contract (AMC)

Zonato Solar offers paid AMC packages post-warranty expiry. AMC covers periodic inspection, cleaning, performance testing, and minor repairs. AMC is optional but strongly recommended to maintain system efficiency and prolong equipment life. AMC terms are governed by a separate AMC agreement.

LIMITATION OF LIABILITY

  • Zonato Solar's maximum aggregate liability in connection with any contract or project shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
  • The Company shall not be liable for any indirect, incidental, consequential, or punitive losses including loss of profit, loss of revenue, loss of data, or business interruption arising from the use or failure of the solar system.
  • Zonato Solar shall not be liable for energy generation shortfalls caused by insufficient solar irradiation, shading by new constructions, dust accumulation due to Client's failure to maintain the system, or grid failure.
  • The Company does not guarantee specific energy generation figures unless explicitly committed in writing in the Work Order based on detailed site assessment and irradiation data.
  • Any subsidy or government incentive amounts are subject to respective government policies and Zonato Solar bears no liability for rejection of subsidy applications due to changes in government policy or eligibility criteria.

Consumer Rights: Nothing in these Terms shall limit or exclude rights available to consumers under the Consumer Protection Act, 2019 and applicable rules, which shall prevail in case of conflict.

INTELLECTUAL PROPERTY

All intellectual property rights including but not limited to designs, engineering drawings, system layouts, software configurations, documentation, and the Zonato Solar brand, logo, and name are the exclusive property of the Company and are protected under the Trade Marks Act, 1999, Copyright Act, 1957, and applicable Indian IP laws.

  • The Client is granted a limited, non-exclusive, non-transferable licence to use deliverables produced for their specific project only.
  • The Client must not reproduce, distribute, modify, or create derivative works from any intellectual property of Zonato Solar without prior written consent.
  • Project photographs, case studies, and site images may be used by Zonato Solar for marketing and promotional purposes unless the Client expressly opts out in writing.

PRIVACY & DATA PROTECTION

Zonato Solar collects and processes personal data in accordance with the Information Technology Act, 2000, the IT (Amendment) Act, 2008, and the Digital Personal Data Protection Act, 2023 (DPDPA).

  • Data Collected: Name, address, phone number, email, site photographs, Aadhaar/PAN (for subsidy applications), electricity bills, and bank account details (where required for subsidy disbursements).
  • Purpose of Collection: Project execution, invoicing, GST compliance, warranty records, government subsidy applications, and AMC communications.
  • Data Sharing: Personal data may be shared with government bodies (MNRE, DISCOM, GST authorities), equipment manufacturers (for warranty claims), and financial institutions — only as required by law or for project execution.
  • Data Security: Reasonable technical and organisational measures are in place to protect your data from unauthorised access, loss, or misuse.
  • Data Retention: Client data shall be retained for a minimum of 7 years as required by Indian tax and accounting laws.
  • Your Rights: You have the right to access, correct, or request deletion of your personal data subject to legal requirements by contacting us at the details in Section 17.

  • All cancellation requests must be submitted in writing via email to the Company. Verbal cancellations shall not be accepted.
  • Refunds, where applicable, shall be processed within 30 working days from the date of written cancellation confirmation.
  • GST component of any refund will be processed in accordance with applicable GST law and Credit Notes will be issued as required.
  • Zonato Solar reserves the right to cancel a Work Order if the site is found to be technically unsuitable upon detailed survey. In such cases, the full advance shall be refunded.
Consumer Protection Act, 2019

In case of a deficiency in service as defined under the Consumer Protection Act, 2019, Clients may approach the District Consumer Disputes Redressal Commission having jurisdiction over Bilaspur, Chhattisgarh, or the appropriate State/National Commission.

DISPUTE RESOLUTION

  • Amicable Resolution: In the event of any dispute, the parties shall first attempt to resolve it amicably through mutual negotiations within 30 days of written notice of the dispute.
  • Mediation: If amicable resolution fails, either party may refer the dispute to mediation under the Mediation Act, 2023 before a mutually agreed mediator in Bilaspur, Chhattisgarh.
  • Arbitration: If mediation fails, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Bilaspur, Chhattisgarh. The arbitration shall be conducted in English or Hindi. The award shall be final and binding.
  • Consumer Disputes: Notwithstanding the above, individual consumers retain all rights under the Consumer Protection Act, 2019 to approach Consumer Dispute Redressal Commissions.
  • Electricity Disputes: Disputes relating to net metering, grid connectivity, or energy tariffs shall be subject to the jurisdiction of the Chhattisgarh State Electricity Regulatory Commission (CSERC) and applicable Electricity Act, 2003 provisions.

GOVERNING LAW & JURISDICTION

These Terms and Conditions and all contracts entered into with Zonato Solar shall be governed by and construed in accordance with the laws of the Republic of India.

Court Jurisdiction

Subject to the dispute resolution clause above, the Courts of Bilaspur, Chhattisgarh, India shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms and any Work Order or contract. The Client expressly submits to the jurisdiction of these courts.

  • Indian Contract Act, 1872
  • Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020
  • Information Technology Act, 2000 and Digital Personal Data Protection Act, 2023
  • Goods and Services Tax Act, 2017 (CGST/SGST/IGST)
  • Electricity Act, 2003 and Indian Electricity Rules, 1956
  • Trade Marks Act, 1999 and Copyright Act, 1957
  • Arbitration and Conciliation Act, 1996 (as amended in 2015 & 2019)
  • Mediation Act, 2023
  • MNRE Guidelines on Grid-Connected Rooftop Solar and PM Surya Ghar Muft Bijli Yojana

GST & TAXATION COMPLIANCE

  • Zonato Solar is a registered taxpayer under GST with GSTIN 22AHNPR4108CZ1. All transactions will attract GST as applicable under the CGST Act, 2017 and Chhattisgarh SGST Act, 2017.
  • Solar panels, certain inverters, and related equipment currently attract a reduced GST rate as notified by the GST Council. Final applicable rates shall be as per prevailing government notifications at the time of supply.
  • Tax invoices compliant with GST rules shall be issued for all supplies. Clients must provide their valid GSTN if they wish to claim input tax credit (ITC).
  • Any changes in GST rates after issuance of quotation but before supply shall be passed on to the Client and incorporated in the final invoice.
  • The Company complies with all e-invoicing, e-way bill, and GST return filing requirements as mandated by the Government of India.

FORCE MAJEURE

Zonato Solar shall not be held liable for any delay or failure in performance of its obligations under any contract due to circumstances beyond its reasonable control, including:

  • Acts of God — floods, earthquakes, cyclones, lightning, drought
  • Fire, explosion, or industrial accidents not attributable to Company negligence
  • War, terrorism, riots, civil disturbance, or Government-imposed restrictions
  • Epidemics, pandemics, or national public health emergencies declared by the Government of India or State Government
  • Supply chain disruptions due to government policy changes, import restrictions, or global component shortages
  • Grid outages or delays by electricity distribution companies (DISCOMs) in providing net metering connections

In the event of a Force Majeure, the Company shall notify the Client in writing within 7 days of the event. Both parties shall discuss revised timelines in good faith. If the Force Majeure event continues for more than 90 days, either party may terminate the contract without penalty, subject to proportionate payment for work completed.

AMENDMENTS TO TERMS

  • Zonato Solar reserves the right to amend, modify, or update these Terms and Conditions at any time at its sole discretion.
  • Amendments shall be effective upon publication on the Company's website or communication to Clients via email or WhatsApp.
  • Clients are advised to review the Terms periodically. Continued engagement with the Company after publication of amendments constitutes acceptance of the revised Terms.
  • For ongoing projects, any amendments to Terms shall not affect the Work Order already executed — the Terms in force at the time of signing the Work Order shall apply to that specific project.

Grievance Redressal: As per the Consumer Protection Act, 2019, grievances shall be acknowledged within 48 hours and resolved within 30 days of receipt of the complaint. Unresolved grievances may be escalated to the District Consumer Disputes Redressal Commission, Bilaspur, Chhattisgarh.

By engaging with Zonato Solar you confirm that you have read, understood, and agreed to these Terms and Conditions in their entirety.
